2. Overview of the latest business licensing requirements and application process in Indonesia

Since the introduction of the Online Single Submission (OSS) system in 2018, the process for obtaining business licenses for both local and foreign companies has changed significantly. Today, licensing is based on a risk-based approach, where higher-risk business activities require more extensive requirements. These risk levels are generally associated with health, environmental, and safety considerations. As the system is fully digital, all applications must be submitted through the OSS platform, which is managed by Indonesia’s Investment Coordinating Board (BKPM).

3. Collection and review of documents for PT PMA establishment

4. PT PMA deed of establishment process

Since a company established by foreign investors must take the form of a limited liability company (PT PMA), the incorporation process—specifically the deed of establishment—requires approval from the Minister of Law and Human Rights (MOLHR). Before submitting for approval, Waktunya Legal will ensure that the deed of establishment fulfills all necessary requirements so the company can proceed smoothly to the next stage of its business setup in Indonesia.

5. Obtaining the necessary operating licenses

Currently, as previously mentioned, Indonesia applies a risk-based approach to its business licensing system. Depending on the level of risk associated with your business activities, you may be required to obtain certain licenses before commencing operations. For lower-risk businesses, once the Business Identification Number (NIB) is obtained, it can serve as the license to operate. However, for higher-risk activities, additional licenses must be secured prior to starting operations. 6. Opening a bank account for the PT PMA

After obtaining the NIB and NPWP, the newly incorporated PT PMA can proceed with opening a bank account. To simplify the process, Waktunya Legal can assist in coordinating with the bank. This service is available only for selected banks that have an existing agreement with us.

1. How a foreigner can register a business in Indonesia?

Foreign investors can establish a PT PMA (perseroan terbatas penanaman modal asing) a legal entity designed specifically for foreign-owned businesses in Indonesia. This structure accommodates projects of any scale and provides a solid legal framework for conducting business in the country.

2. Is there any limitation of ownership?
Indonesian legislation regulates the maximum allowed foreign ownership. According to the business classification, the percentage of closed and open investments together with asset allocation varies:

Some businesses are allowed 100% of open investments, both for national and foreign investors;

Another group of overseas projects is allowed closed contributions only;

Some business categories require specified percentage rates (for example, 10 % of open investments and 90% of closed ones).

You could check the list of restricted business projects in the Indonesian DNI (Negative Investment List) in order to get data about limitations to the business classification you have chosen. There are numerous international companies on the territory of Indonesia that did not use the attraction of the local investments.

3. The Main Requirements for PT PMA in Indonesia
Paid-Up Share Capital. There is a minimum requirement for paid-up share capital. According to Perka BKPM No. 4 of 2021, the minimum paid-up capital has been set at 10,000,000,000 IDR, along with the requirement to declare a minimum investment plan of the same amount. The initial investment must be transferred to the company’s bank account once the PT PMA registration is complete, to facilitate the issuance of the Capital Statement Letter. The bank account can be funded gradually over time as the PT PMA operates, and the capital can be utilized for business activities.

Number of Shareholders. A minimum of two shareholders (a Director and a Commissioner) is required to register a company. Shareholders can be individuals or legal entities.

Business Location. Indonesia is a decentralized country, with most government activities conducted at the district level. Since the local district is responsible for issuing permits, it is crucial to select a business location and verify all zoning regulations related to the land or building before initiating the registration process.

4. Documents Requirements:
Name of the company (must consist of 3 words, with a minimum of 3 letters per word).

Copy of shareholders’ and board of director’s/commissioner’s passports.

Information regarding share composition between shareholders, e.g., 50-50%

Information regarding appointed directors and commissioners.
